Dear Sound FC Families,

This is a call for nominations for the Sound Football Club Board of Directors.

The next big step in the process of club governance is board member elections at our Annual General Meeting each June. Each year at our general meeting, the club elects two of our four board officers and four of our eight members-at-large.

Per club bylaws the following positions are up for election:

  • President – Term Ends June 2021
  • Secretary – Term Ends June 2021
  • 4 Seats, Director-at-Large – Terms End June 2021

The central task of the Board is to address the interests and needs of the players, coaches, and parents by supporting the club’s leaders in their efforts to implement our mission, vision and goals. We need strong, creative volunteers we can rely on to help set the direction for our organization. We are looking for people who have a passion for kids, soccer and the club!

Nominees will ideally demonstrate ability (preferably in a nonprofit environment):
– Working constructively in teams
– Strategic thinking
– Creative problem-solving
– Building organizations
– Communicating and building relationships with diverse stakeholders
– Acting transparently and with integrity
– Fundraising and/or procuring sponsorships

General time commitment for a Director-at-Large position is one monthly meeting plus similar or slightly greater time for committee duties.  Executive Board positions (e.g., President, Secretary, etc.) require additional commitments as well.  See Duties of Directors section below for more information.

We are searching for people who are both devoted to the mission of the club and willing to commit their time and expertise to help our club grow. A committee member will contact potential candidates to go over details, answer any questions the nominee may have, and discuss whether they would like to accept the nomination.

  • Nominees Submit Resume/Letter of Interest/Acceptance by June 7, 2019
  • Nominating Committee Votes on Final Slate for Ballot by June 12, 2019
  • Candidate Bios Posted by June 12, 2019
  • Annual Meeting and Elections on June 27, 2019. Brightwater Center, 6:30-8:00 pm.

DUTIES OF DIRECTORS

Section 6.01. President. The President shall:

  • Preside at all meetings of the Board of Directors;
  • Exercise general supervision over the affairs of the Club;
  • Keep the Board of Directors fully informed, and freely consult with them concerning the activities of the Club;
  • Sign in the name of the Club (as one of two required signatures) for all contracts authorized either generally or specifically by the Board; and
  • Perform such other duties as shall from time to time be assigned to him or her by the Board of Directors.

Section 6.02. Vice President. The Vice President shall:

  • Perform the duties of the President, as requested by the President, in the event of the President’s absence;
  • Perform all duties of the President until the President position is filled in the event of
the President’s resignation, removal or inability to perform his or her duties; and
  • Exercise such other powers and duties as the President or the Board of Directors from time to time may assign to him or her.

Section 6.03. Secretary. The Secretary shall:

  • Act as secretary at all meetings of the Club and Board of Directors;
  • Keep the minutes of such meetings in the books proper for that purpose and provide copies of such minutes to the Board of Directors;
  • Attend to the giving and serving of all notices of the Club;
  • Perform all the duties customarily incident to the office of the Secretary, subject to the control of the Board of Directors; and
  • Perform such other duties as shall from time to time be assigned to him or her by the Board of Directors.

Section 6.04. Treasurer. The Treasurer shall:

  • Have the custody of all funds and securities of the Club, which may come into his or
her possession or control;
  • Keep or cause to be kept full and accurate accounts of receipts and disbursements of the Club;
  • Prepare an annual budget for the Club in such form and detail as the Board of Directors may require;
  • Deposit all moneys and other valuable effects of the Club in the name and to the credit of the Club in such banks or depositories as the Board of Directors may designate;
  • Render to the Board of Directors a statement of accounts and of the Club’s financial condition, in such form as the Board of Directors may require at least quarterly, and whenever the Board may require;
  • Present a full report at the annual meeting of the Club and such other reports as the Board of Directors shall request;
  • At all reasonable times exhibit the books and accounts of the Club to any Director of the Club;
  • Submit all required financial reports to WYS and regional or local associations; and
  • Perform such other duties incident to the position of Treasurer as shall from time to time be assigned to him or her by the Board of Directors.

Section 6.05. Directors-at-Large. The Directors-at-Large shall chair and/or oversee various committees (e.g., a Nominating Committee), as may be established by the Board of Directors, may be appointed as Vice-Presidents of the Club for particular purposes, and may perform such other duties (e.g., as Club Registrar) as shall from time to time be assigned to them by the Board of Directors.
